How we are governed
While day-to-day management is delegated to staff, the CSHA Board remains ultimately responsible for the overall control of the Association’s affairs. This includes appointing and supervising staff and ensuring the organisation is well managed and operating within agreed policies, budgets and the law.
The rules of the Association allow the Board to exercise these powers:
- To buy, sell, build upon, lease, mortgage or exchange any property or land and to enter into any contracts.
- To compromise, settle, conduct, enforce or resist either in a Court of Law or by arbitration and suit, debt, liability or claim by or against the Association.
- To determine and enforce the terms and conditions upon which the property of the Association is to be let.
- To appoint and remove all solicitors, architects, surveyors and employees.
- To pay all such expenses, including travelling expenses, as are properly incurred by any committee member in carrying out their duties.
- To affiliate the Association to the National Housing Federation (NHF) and pay an appropriate fee.
As well as the powers conferred on the CSHA Board by the rules, these additional responsibilities have been adopted by custom and practice:
- Formulation and approval of new policies.
- The appointment of the Chief Executive.
- Matters which may involve major changes of policy of the Association.
- Any extension or restriction in the scope of the Association’s activities or functions.
- Major matters in relation to central government, the Tenant Services Authority, local authorities other statutory bodies and other housing associations.
- Any item which is referred to by a general meeting.
- Any matter reserved to it by the financial regulations.
- Deal with any allegations or instances of fraud that affect the Association, and bring any such matter to the attention of the Tenant Services Authority.
The Board comprises eleven members (1 April 2009) including the Honorary President and tenant representative.
